The initial of a limited company involves filing Memorandum of Association. The Memorandum must consist of information regarding:
- Name and location of the company
- Objectives of the company
- Registered Capital of the company, including the total shares and par value of each share
Note: Registered Capital must be at least 2 Million Baht in order to obtain one work permit with minimum of 4 Thai employees. - Personal data of each investor with signature on the documents
- Number of shares each investor holds (minimum of one share per investor) Note: Minimum of 7 shareholders are required in a limited company without relevance to the ratio between the Thai and foreign investors. Nevertheless, Thai nationals hold 51%, and the foreign investors hold the remaining 49%.
